By accessing or using our Services, you (“Client,” “You,” or “Your”) agree to comply with these Terms. If you do not agree, you may not use our Services.

2. Services Provided

NeverDropLeads.com provides AI-powered SMS messaging solutions, including but not limited to:

• Automated lead qualification and customer engagement

• Marketing and promotional campaigns via SMS/MMS

• Two-way conversational AI chat and support

3. Client Responsibilities

You agree to:

• Obtain proper consent from all contacts before sending SMS/MMS messages (per TCPA, CTIA, and applicable data privacy laws).

• Provide accurate and lawful message content.

• Refrain from using the Services for spam, harassment, fraudulent, or unlawful purposes.

• Maintain an updated opt-in and opt-out process, ensuring all unsubscribe requests are honored immediately.

4. Compliance

• U.S. Clients: Must comply with the Telephone Consumer Protection Act (TCPA) and Cellular Telecommunications Industry Association (CTIA) guidelines.

• International Clients: Must comply with local regulations (e.g., GDPR, CASL, PECR).

• Client assumes full responsibility for compliance; NeverDropLeads.com provides tools but does not guarantee compliance.

5. Data Usage & Privacy

• We collect and process personal data in accordance with our Privacy Policy.

• We will not sell or rent your data.

• You retain ownership of your customer lists and message content.

6. Fees & Payment

• Fees are billed on a [monthly/usage-based] basis.

• Late payments may result in suspension of Services.

• All fees are non-refundable unless otherwise stated in writing.

7. Service Availability

• We aim for 99% uptime but do not guarantee uninterrupted Services.

• Scheduled maintenance or carrier disruptions may cause delays or message failures.

8. Limitation of Liability

• NeverDropLeads.com (DNT Coaching LLC) is not liable for:

  • Fines, penalties, or damages arising from non-compliance with SMS laws.

  • Lost profits, business interruptions, or indirect damages.

• Liability is limited to the amount paid by the Client in the past 3 months of Services.

9. Indemnification

You agree to indemnify and hold harmless NeverDropLeads.com (DNT Coaching LLC), its officers, employees, and affiliates from any claims, fines, or damages resulting from your use of the Services, including but not limited to violations of TCPA, CTIA, GDPR, or other laws.

10. Termination

• Either party may terminate this Agreement with 30 days’ written notice.

• We reserve the right to immediately suspend or terminate Services for non-payment, suspected abuse, or unlawful activity.

11. Intellectual Property

• Our software, AI models, and platform remain our property.

• You retain ownership of your brand, customer data, and message content.

12. Governing Law

These Terms will be governed by the laws of the State of South Carolina, without regard to its conflict of law principles.

13. Amendments

We may update these Terms from time to time. Continued use of Services after changes constitutes acceptance of updated Terms.
